This Terms of Use Agreement (the "Agreement") governs your use of the YUP dating and friendship app (the "App"). By using the App, you agree to be bound by this Agreement.

You are solely responsible for the Content that you upload, post, or otherwise make available on the App. You agree that your Content will not violate any third party's rights, including but not limited to copyright, trademark, or privacy rights. You also agree that your Content will not be false, misleading, or defamatory.

YUP may terminate your Account at any time for any reason, including but not limited to if you violate this Agreement.
7. Disclaimer of Warranty
THE APP IS PROVIDED "AS IS" AND YUP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YUP DOES NOT WARRANT THAT THE APP WILL BE ERROR-FREE OR THAT IT WILL MEET YOUR REQUIREMENTS.
8. Limitation of Liability
IN NO EVENT SHALL YUP BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, OR LOSS OF USE, ARISING OUT OF OR IN CONNECTION WITH THE APP, WHETHER BASED ON CONTRACT, TORT, OR OTHERWISE, EVEN IF YUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws provisions.
10. Entire Agreement
This Agreement constitutes the entire agreement between you and YUP regarding the App and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
11. Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.
12. Waiver
No waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
13. Notices
All notices and other communications under this Agreement shall be in writing and shall be deemed to have been duly given when delivered in person, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:

14. Headings
The headings in this Agreement are for convenience only and shall not affect its interpretation.

This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
16. Changes to the Terms of Use
YUP may modify this Agreement from time to time. The most current version of the Agreement will be posted on the App. By continuing to use the App after any changes to the Agreement
